These Terms and Conditions govern your use of our website and any advisory services you engage from Bridgora. Please read them carefully before using the site or entering into a service engagement. If you have questions, contact us before proceeding.

1. Definitions

As used in these Terms:

  • "Agreement" means these Terms and Conditions and any programme or engagement letter signed between you and Bridgora.
  • "Service" means the cross-cultural advisory programmes offered by Bridgora, including the Cross-Border Engagement Programme, the Regional Leadership Workshop, and the Inbound-Investor Briefing, as well as any other advisory work agreed in writing.
  • "We / Us / Our" means Bridgora, operating from 188 Surawong Road, Khwaeng Si Phraya, Khet Bang Rak, Bangkok 10500, Thailand.
  • "You / User" means the individual or legal entity using this website or engaging our services.
  • "Content" means written documents, workshop records, briefing packs, and any other material produced in the course of a service engagement.

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you have read, understood, and agreed to these Terms. You also confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

If you are entering into this Agreement on behalf of a company or other legal entity, you confirm that you have authority to bind that entity to these Terms. In that case, references to "you" include the entity you represent.


3. Service Description

Bridgora provides cross-cultural advisory services for companies and leadership teams operating across Asia-Pacific markets. The scope of each engagement is set out in a programme agreement or engagement letter confirmed in writing before the engagement begins.

Services are available to clients in Thailand and internationally. We work primarily in English. The availability of specific programmes may vary depending on adviser capacity and the scope of the enquiry.


4. Your Responsibilities

Accurate information

You agree to provide accurate, complete, and current information when engaging our services and when submitting the contact form on this website. Inaccurate information that affects service delivery will be your responsibility to correct.

Cooperation

Effective advisory work depends on your participation. You agree to make relevant personnel available for interviews and workshops at agreed times, to engage genuinely with the preparation process, and to provide context that is material to the work.

Prohibited conduct

  • Using our website or services for any unlawful purpose
  • Misrepresenting your identity or the nature of your organisation
  • Attempting to gain unauthorised access to any part of our systems
  • Using our content in ways that are not permitted under these Terms

5. Intellectual Property

All content on this website — text, structure, design, and branding — is the property of Bridgora and is protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from website content without our prior written permission.

Engagement content

Written documents produced during a service engagement — readiness briefs, workshop records, briefing packs — are delivered to you for your internal use in connection with the engagement. You may not publish, distribute externally, or commercially exploit these materials without written agreement from Bridgora. We retain the right to draw on the methodologies and frameworks used in engagements in future work, without reference to client-specific information.


6. Payment Terms

Fees for each programme are quoted in Thai Baht (฿) as set out on our website and confirmed in the engagement letter. Unless otherwise agreed in writing:

  • A deposit of 50% of the programme fee is due before the engagement begins
  • The remaining balance is due on completion of the engagement or within 14 days of the final invoice, whichever is earlier
  • Payment may be made by bank transfer to the account details provided in the invoice
  • Fees do not include taxes or levies applicable in your jurisdiction; these are your responsibility

Cancellation and rescheduling

If you cancel an engagement more than 14 days before it is scheduled to begin, the deposit will be refunded in full. Cancellations within 14 days of the start date are non-refundable. Rescheduling requests made more than 7 days before the start date will be accommodated where possible at no additional charge.


7. Service Delivery Terms

The scope, deliverables, and timeline for each engagement are agreed in writing before the engagement begins. Bridgora will use reasonable care and professional judgment in delivering the agreed service.

  • Changes to agreed scope must be requested in writing and agreed by both parties before additional work is undertaken
  • Written deliverables will be provided in English unless an alternative language is specifically agreed
  • Delivery timelines may be affected by your timely provision of input, access to relevant personnel, and scheduling of agreed sessions
  • Bridgora treats all information shared during engagements as confidential

8. Disclaimers

Our website content and advisory services are provided in good faith and to the best of our professional knowledge. However:

  • We do not represent that the website is free from errors or will be available at all times
  • Advisory work reflects our professional judgment based on the information available; we do not represent that specific business outcomes will follow from the work
  • Cross-cultural advisory does not constitute legal, financial, or regulatory advice; you should seek specialist professional advice for such matters

9. Limitation of Liability

To the maximum extent permitted by applicable Thai law, Bridgora's total liability in connection with any engagement or website use will not exceed the fees paid by you for that specific engagement in the six months preceding the claim.

We will not be liable for indirect, consequential, or special loss, including loss of business, profit, or opportunity, even if we have been advised of the possibility of such loss. This limitation does not apply to liability for fraud or personal injury caused by our negligence.

Force majeure

We will not be in breach of these Terms for any delay or failure caused by circumstances outside our reasonable control, including but not limited to natural disasters, illness, government action, or failure of third-party services.


10. Indemnification

You agree to indemnify and hold harmless Bridgora, its advisers, and representatives from any claims, damages, or costs (including reasonable legal fees) arising from your breach of these Terms, your use of the website, or your misrepresentation of information provided to us in connection with an engagement.


11. Termination

Either party may terminate an engagement by written notice if the other party materially breaches the agreement and fails to remedy that breach within 14 days of receiving written notice of it.

On termination, you will pay for all work completed up to the termination date. Sections covering intellectual property, limitation of liability, indemnification, and dispute resolution will survive termination.


12. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from them will first be referred to informal discussion between the parties with a view to reaching a resolution without legal proceedings. If informal discussion does not resolve the matter within 30 days, the dispute will be submitted to the jurisdiction of the Thai courts.

Where both parties agree, disputes may instead be referred to mediation through a mutually agreed mediator before proceeding to litigation.


13. General Provisions

  • Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties and supersede prior discussions or representations.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
  • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a sale or transfer of the business.
  • Notices: Written notices may be sent by email to [email protected] and will be considered received on the business day following transmission.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be published on this page with a revised effective date. For active clients, material changes will be communicated by email. Continued use of the website or our services after the effective date of an update constitutes acceptance of the revised Terms.
